Quote, acceptance and deposit
These terms of sale apply to any design, redesign, hosting or maintenance service for a website or an application that I provide under the name MK-Web, for business clients and for consumers. A consumer is an individual acting for purposes outside their commercial, industrial, craft, professional or agricultural activity.
Each service is covered by a written quote, drawn up after a discussion of your needs. The quote states the scope, the price and the timeline: you approve the price before I start. As a guide, my offers are: Essentiel (1 to 4 pages) at €1,190, Site vitrine (up to 8 pages) at €2,050, Sur mesure (copywriting, blog, languages or booking) from €2,990. Redesigns, e-commerce, web applications, SaaS and AI are quoted individually. Only the price on the quote you accept is binding.
The contract is formed when you accept the quote in writing (signature or reply by e-mail). This acceptance means you accept these terms.
The price is paid in two instalments: 40% when the quote is signed, as a deposit, then 60% when the site goes live, as the balance. I start work when I receive the deposit. If you are a consumer, see also the right of withdrawal below.
Delivery and acceptance
For a showcase website, delivery is within one week at most, once I have received your content. For an e-commerce site or an application, the timeline is the one set in the quote.
The timeline starts when I receive the deposit and all the content needed (texts, images, access). It is extended by any delay on your side in providing these items or answering my requests, and by force majeure.
When the site is ready, I show it to you and you check it against the quote. You report any difference from the quote in writing (an e-mail is enough) and I fix it before going live. Going live counts as acceptance of the site. The balance is then due.
30 days of free adjustments
From the day the site goes live, I make adjustments free of charge for 30 days.
They cover tweaks to what the quote provides for (texts, images, colours, layout) and the correction of malfunctions.
They do not cover a new page, a new feature, the redesign of an approved design, or a problem caused by a change you or a third party made to the site, or by a third-party service. Please ask for them in writing. After this period, adjustments are quoted separately, or included in your maintenance plan if it provides for them.
Requests outside the quote
Small adjustments are included. Any request that goes beyond the quote (a new page, a new feature) is priced separately and you approve it before I carry it out.
I only start the extra work once you have agreed in writing on the price and the timeline.
Intellectual property
The code and the access belong to you: the code I write for your project and the access to the site are transferred to you once the price is paid in full. Until then, I remain the owner of what I created and I do not hand over the code or the access.
The open-source libraries and components, fonts and licensed images I use remain under their own licences.
You warrant that you hold the rights to the texts, images, logos and other content you give me, and you hold me harmless against any third-party claim about them.
Hosting and maintenance
I offer two maintenance plans, billed monthly. Sérénité, at €29/month: hosting and SSL, backups, updates and monitoring. Sérénité +, at €69/month: the same, plus 1 hour of changes per month.
The quote states the plan chosen, the minimum term and the notice to stop. Changes beyond what the plan includes follow the rule for requests outside the quote.
Payment and late payment
The deposit is due when the quote is signed and the balance when the site goes live. Each payment is made by the due date shown on the invoice. I may suspend the service while an overdue sum is unpaid, after informing you.
For business clients, any late payment automatically incurs late-payment penalties, due from the day after the due date, with no reminder needed. The rate is the minimum set by article L. 441-10 of the French Commercial Code, that is three times the legal interest rate.
Business clients also owe, for each invoice paid late, a flat-rate recovery fee ("indemnité forfaitaire pour frais de recouvrement") of €40 (art. L. 441-10 and D. 441-5 of the Commercial Code). This fee and these penalties do not apply to consumers.
For consumers, a sum paid late bears interest at the legal rate from the formal notice.
VAT
TVA non applicable, art. 293 B du CGI. The price on the quote is therefore the net price to pay, with no VAT added.
Liability
I have an obligation of means: I bring to your project the care and skill expected of a professional.
I am not liable for the content you provide, nor for interruptions or failures of third-party services (host, domain name, e-mail, measurement, booking or payment tools).
For business clients, my liability is limited to direct damage and cannot exceed the price paid for the service concerned. It does not cover indirect damage (loss of revenue, of customers or of data).
These limits do not apply in case of gross or intentional misconduct, and they do not restrict the rights the law gives to consumers.
Termination
Either party may end the contract if the other commits a serious breach, after a written formal notice left without effect once the period it sets has expired.
You may also stop the current project at any time. The work done up to that point remains due, in proportion to the progress made against the quote. The deposit already paid is set against that amount, and I refund the difference if it is higher.
The code and the access for the work that has been paid for are then transferred to you. Maintenance ends as set out in the quote.
If you are a consumer, these rules do not limit your right of withdrawal.
Personal data, governing law and disputes
The personal data you give me is processed as explained in the privacy policy.
These terms are governed by French law.
In case of a dispute, please write to me first at mohamad@mk-web.fr: we will look for an amicable solution.
For business clients, failing an amicable solution, the competent courts are those of Chartres. For consumers, the competent courts are determined by the rules of law.
Consumers: right of withdrawal
If you are a consumer and the contract is concluded at a distance (for example by e-mail) or away from my premises, you have 14 days to withdraw, without giving a reason (art. L. 221-18 of the French Consumer Code). The period runs from the day the contract is concluded, that is, from the acceptance of the quote.
To withdraw, send me an unambiguous statement by e-mail to mohamad@mk-web.fr or by post to 4 Mail des Petits Clos, 28000 Chartres. You can use this template: "To Mohamad AL-KHATIB, 4 Mail des Petits Clos, 28000 Chartres, mohamad@mk-web.fr. I hereby give notice that I withdraw from my contract for the following service: (description of the quote). Ordered on (date). Name of the consumer: (name). Address of the consumer: (address). Date and signature".
I refund the sums received no later than 14 days after being informed of your decision, using the same means of payment as yours.
Unless you expressly ask me to, I do not start work before the end of the withdrawal period. If you want work to start before the end of the withdrawal period, you must ask me expressly, on the quote or in writing. If you then withdraw, you pay me an amount in proportion to what has been provided up to your notification, compared with the whole service in the quote (art. L. 221-25).
If the service is fully performed before the end of the withdrawal period, you lose your right of withdrawal, provided you expressly asked me to start before the end of the period and acknowledged that you lose this right once the service is fully performed (art. L. 221-28).
Consumers: mediation
If you are a consumer, you have the right to use a consumer mediator, free of charge, to settle a dispute with me amicably (art. L. 612-1 of the French Consumer Code). Before contacting a mediator, send me a written complaint at mohamad@mk-web.fr.
